License Amendment

License Amendment

When practicing business activities, it is possible to insert changes to the license details in response to the customer circumstances or the change of the economic climate as DED adopts easy procedures to facilitate any changes in licenses as part of a series of procedures offered by DED through its various branches and website.

Change Trade Name

First: Documents required for Initial Approval

Registration and licensing application, as well as proof of reserved trade name.
Original License and Original Certificate of Registration in the Commercial Register.
Approval of the Ministry of Economy for branches of foreign companies registered with the Ministry and for public shareholding companies.
Main company’s Board of Directors resolution to change the name (for
branches of foreign companies not registered with the Ministry of Economy).

Second: Documents required after getting the Initial Approval

All documents submitted before in order to get the Initial Approval.
Amendment to the Memorandum of Association concerning change of trade
name (all legal forms of companies except branches of foreign companies).
Changing the Contract of the Service Agent (if any).

Change / Add a Business Activity

First: Documents required for Initial Approval

Registration and licensing application, as well as proof of reserved trade name.
Original License and Original Certificate of Registration.
Approval of the Ministry of Economy for branches of foreign companies registered with the Ministry and for public shareholding companies.
Main company’s Board of Directors resolution to change the activity (for
branches of foreign companies not registered with the Ministry of Economy).
Approval issued by other Government authorities according to the type of activity. Please check External Approvals or go to our online Activities Search e-Service on DED site.
Photocopy of office lease including the plot number.

Second: Documents required after getting the Initial Approval

All documents submitted before in order to get the Initial Approval.
Amendment to the Memorandum of Association concerning change of trade
name (all legal forms of companies except branches of foreign companies).
Changing the Contract of the Service Agent (if any).

Change Business Location

First: Documents required for Initial Approval

Registration and licensing application, as well as proof of reserved trade name.
Original License and Original Certificate of Registration.
Photocopy of the shop / office lease including plot number.

Second: Documents required after getting the Initial Approval

All documents submitted before in order to get the Initial Approval.

Change Local Agent Details

approving the liquidation of the company.

Second: Cancellation of license(s) & cancellation from the Commercial Registration:

Certificates issued in the other Emirates indicating cancellation of license(s) (if any).
Original copy of the final account of liquidation approved by the partners or general assembly and stamped by the legal liquidator.
No-objection letter concerning cancellation issued by the Ministry of Labour & Social Affairs.
Visa Cancellation of the partner(s) in case they are sponsored by their license.
Copy of the notice of the company’s dissolution & appointment of a liquidator to be published in the official newspapers.

Sale of Business

First: Documents required for Initial Approval

Registration and licensing application, as well as proof of reserved trade name.
Original License and Original Certificate of Registration.
Photocopy of buyer’s passport & UAE naturalization identification.
No-objection Letter from the applicant's visa sponsor (non GCC nationals).
Approval of other government authorities, if the type of activity requires so.

Second: Documents required after getting the Initial Approval

All documents submitted before in order to get the Initial Approval.
Sale Contract duly authenticated by the Notary Public.
The Contract of Appointment of Local Services Agent duly authenticated by the Notary Public for professional licenses of non GCC nationals.

Change / Add Management Details

First: Documents required for Initial Approval

Registration and licensing application, as well as proof of reserved trade name.
Original License and Original Certificate of Registration.
Photocopy of the new manager’s passport (in case he/she is not one of the partners).
Approval of the Ministry of Economy & Commerce (for branches of foreign companies registered with the Ministry).
Approval of the Central Bank for activities requiring such approval.
Main company’s Board of Directors resolution to change the manager and new manager’s authorization (branches of foreign companies not registered with the Ministry of Economy & Commerce).
Letter from concerned country’s embassy or consulate (Government Liaison Office).

Second: Documents required after getting the Initial Approval

All documents submitted before in order to get the Initial Approval.
Photocopy of the new manager’s accommodation lease. (Non-UAE national).
Amendment to the Memorandum of Association duly authenticated by the Notary Public, if the name of the manager is mentioned in the original Memorandum (except branches of foreign companies).
Application of an official editor publication of the company (Ministry of Economy and Commerce for commercial companies).

Bequeathing License

First: Documents required for Initial Approval

Registration and licensing application, as well as proof of reserved trade name.
Original License and Original Certificate of Registration.
Decree of Distribution from the Court.
Power of Attorney from the heirs to the heirs’ representative, duly authenticated by the Notary Public (adults only).
Copy of the guardian’s appointment certificate in case of minors.
Copy of the passport and UAE naturalization identification of the heirs’ representative.
Legal Decree from the court by the Succession of Heirs.

Second: Documents required after getting the Initial Approval

All documents submitted before in order to get the Initial Approval.
Amendment to the Memorandum of Association (companies only).
Application for publishing of amendments of the official document of the company (Ministry of Economy & Commerce for Commercial Companies).

Devolution of License

First: Documents required for Initial Approval

Registration and licensing application, as well as proof of reserved trade name.
Original License and Original Certificate of Registration.
Decree of Distribution from the Court.
Letter of transfer from the heirs (Adults only) to a representative / agent, duly authenticated by the Notary Public.
Letter of Devolution of License from Awqaf & Minors Affairs Foundation in case of minors.
Copy of passport & UAE naturalization identification of the transferee.
Legal Decree from the court by the Succession of Heirs.

Second: Documents required after getting the Initial Approval

All documents submitted before in order to get the Initial Approval.
Amendment to the Memorandum of Association of the Devolution of License, duly authenticated by the Notary Public (companies only).
Application for publishing of amendments of the official document of the company (Ministry of Economy & Commerce for Commercial Companies).

Add / Remove Partner Details

First: Documents required for Initial Approval

Registration and licensing application, as well as proof of reserved trade name.
Original License and Original Certificate of Registration.
Photocopy of new partner's (s) passports & UAE naturalization identifications (for those without any previous licenses).
No-objection letter from the applicant’s visa sponsor (non GCC nationals).
Approval from other concerned authorities to add new partner(s), if the type of activity requires so.

Second: Documents required after getting the Initial Approval

All documents submitted before in order to get the Initial Approval.
Shares Sale Contract duly authenticated by the Notary Public of the Emirate.
Amendment to the Memorandum of Association duly authenticated by the Notary Public in the Emirate, showing withdrawal / addition of partner(s).

Visa Cancellation of the withdrawing partner sponsored by the same license (partner – investor) for non GCC nationals.

Capital Amendment

First: Documents required for Initial Approval

Registration and licensing application, as well as proof of reserved trade name.
Original License and Original Certificate of Registration.
Approval of the Amendment to the Capital, from the Ministry of Economy (public / private shareholding companies).
Original Certificate of depositing the capital, issued by one of the banks
operating in the Emirate or statement of contribution in kind.
Amendment to the Memorandum of Association duly authenticated by the Notary Public, indicating the amendment to the capital.
Board of Director’s Resolution to amend the capital.
Certificate from the company’s director concerning amendment to the capital, certified by the auditor.
Photocopy of the auditor’s license issued in the Emirate, and Certificate of Registration in the Auditor Register.
The Company Budget of the year of issuance and the last year (only material capital).
Copy of the Memorandum of Association (only material capital).

Liquidation for Merger

First Stage:

Merge Agreement (between both companies and truly authenticated by the Notary Public)
Minute of the General Assembly from the merged company, and appointing a liquidator stating the name, provided that it is authenticated by the Notary Public.
Bringing the liquidator's documents (copy of license, certificate of the accountant registration, a signature specimen authenticated by the Notary Public.
Payment of Dhs 2010 to obtain the merger certificate and appoint a liquidator, after getting the approval of the legal adviser.
Announcement in two Arabic newspapers for one day, however the ad must include the statement of (liquidation for merger) and creditors shall be given 60 days as of the date of the declaration to file their claims.

Second Stage:

A resolution from the General Assembly of the merging company to increase its capital based on an assessment of the merged company, and the distribution of the increase in capital on partners in the merged company.
Attachment to the MOA to increase capital and add partners (authenticated by the Notary Public)
Bringing the original newspapers in which the announcement was made and the company's final report.
A declaration from the liquidator and partners stating that there is no objection from any other authority in 60 days after the announcement was published.

A copy of the minute of the General Assembly meeting and a copy of the merge certificate.
